KUWAIT CORPORATION LIMITED (KCL) – TERMS AND CONDITIONS

1. Introduction

Welcome to Kuwait Corporation Limited (KCL) (“KCL,” “we,” “us,” or “our”). These Terms govern your access to and use of our websites, software systems, SaaS platforms, retail technologies, industrial solutions, electronic devices, smart shelf systems, cloud services, and any hardware or electronic equipment supplied by KCL.

By using our Services or products, you agree to comply with these Terms, our Privacy Policy, and all applicable local and international laws. If you do not agree, you must stop using our Services immediately.

2. Eligibility

You must be at least 18 years old or have legal authority to enter into binding agreements. If acting on behalf of an organization, you confirm you are authorized to bind that organization to these Terms.

3. Account Security and Access Control

You are responsible for maintaining secure access credentials for all KCL systems. Any activity performed through your account is your responsibility. Unauthorized access, sharing of credentials, or failure to secure systems may result in suspension or legal liability.

4. Use of Software, Systems, and Devices

KCL provides SaaS platforms, enterprise software, IoT devices, electronic shelf labels, retail automation systems, tracking systems, and other electronic or smart hardware.

You agree that all software and devices must be used strictly for lawful and intended purposes only. You must not:

• Reverse engineer, modify, or tamper with KCL software or firmware 
• Interfere with system integrity, networks, or device communication protocols 
• Use systems for illegal surveillance, unauthorized tracking, or data extraction 
• Bypass security controls, authentication systems, or access restrictions 
• Use devices in unsafe, hazardous, or unauthorized environments 
• Connect KCL devices to unauthorized third-party systems without approval 
• Alter firmware, hardware configuration, or embedded software 

Any misuse of software or devices may result in immediate termination of services and legal action.

5. Misuse of Electronic Devices and Hardware

KCL supplies electronic devices including smart shelf labels, IoT modules, scanners, retail automation devices, and enterprise hardware solutions.

You agree that:

• Devices must be installed and operated according to KCL guidelines 
• Any physical damage, unauthorized repair, or modification voids warranty 
• Devices must not be used for unlawful tracking, spying, or surveillance 
• Improper electrical use, overheating, tampering, or environmental misuse is strictly prohibited 
• Devices must not be used in violation of safety regulations or government laws 

KCL is not responsible for damage, malfunction, or data loss caused by misuse, improper installation, or unauthorized modification.

6. Data Privacy and Compliance Obligations

All users must comply with applicable data protection laws including GDPR, UK GDPR, and relevant GCC privacy frameworks where applicable.

You agree that:

• You are responsible for lawful collection and processing of personal data using KCL systems 
• You will not use KCL platforms to store or process illegal, unauthorized, or sensitive data without legal basis 
• Any misuse of personal data, including unauthorized sharing, extraction, or exposure, is strictly prohibited 
• You are responsible for ensuring end-user consent where required by law 

KCL acts as a technology provider and does not assume liability for how clients use or manage their data unless explicitly stated in a written agreement.

7. Prohibited Activities

You may not use KCL Services for:

• Fraud, financial crimes, or illegal transactions 
• Cyberattacks, hacking, or system exploitation 
• Terrorism-related or extremist activities 
• Distribution of malware, spyware, or harmful code 
• Illegal gambling, betting, or financial schemes 
• Intellectual property violations 
• Unauthorized data scraping or mass data extraction 
• Harassment, abuse, or unlawful surveillance 

KCL reserves the right to immediately suspend or permanently terminate access without notice.

8. Software Licensing and Restrictions

All software provided by KCL is licensed, not sold, unless explicitly agreed otherwise.

You may not:

• Copy, distribute, or resell software 
• Share access with unauthorized users 
• Use software outside licensed scope 
• Attempt to extract source code unless contractually permitted 

Violation will result in immediate termination and potential legal enforcement.

9. Hardware Responsibility and Liability

KCL may supply hardware, IoT devices, scanners, smart retail systems, and industrial electronics.

You acknowledge:

• Devices must be installed by qualified personnel 
• Improper use voids warranty and support 
• KCL is not liable for damage caused by power failure, misuse, negligence, or environmental conditions 
• Data loss from hardware failure is not the responsibility of KCL unless covered by a separate SLA 

10. Payment, Billing, and Access

All payments must be made according to agreed terms. Failure to pay may result in suspension or termination.

All fees exclude applicable taxes unless stated otherwise. Clients are responsible for all local tax obligations.

11. Data Security and Responsibility

KCL implements strong security controls including encryption, monitoring, and access management. However, no system is fully secure.

You are responsible for:

• Maintaining secure passwords 
• Protecting access credentials 
• Securing connected devices and networks 
• Preventing unauthorized access to your systems 

12. Trials, Refunds, and Cancellations

Trial access may be provided for evaluation. Once services are activated or hardware is delivered, payments are generally non-refundable.

Refunds are not provided for:

• Misuse of systems or devices 
• Client-side errors or misconfiguration 
• Data loss caused by user actions 
• Service interruptions caused by third-party infrastructure 

13. Intellectual Property Rights

All systems, software, designs, firmware, hardware architecture, and documentation remain the intellectual property of KCL unless otherwise agreed in writing.

14. Disclaimers and Limitation of Liability

Services are provided “as is” without warranties. KCL is not responsible for indirect losses including revenue loss, business interruption, or data corruption caused by external or client-related factors.

15. Indemnification

You agree to indemnify KCL against any claims, damages, or liabilities arising from misuse of software, hardware, or violation of these Terms.

16. Termination

KCL may suspend or terminate access immediately for violations, misuse, fraud, or legal compliance reasons.

17. Governing Law

These Terms are governed by the laws of the State of Kuwait. Any disputes will be subject to Kuwaiti jurisdiction.

18. Changes to Terms

KCL may update these Terms at any time. Continued use constitutes acceptance of updated Terms.

19. Third-Party Integrations

KCL may integrate third-party services. We are not responsible for third-party behavior, outages, or policies.

20. Entire Agreement

These Terms represent the full agreement between you and KCL and override any prior understandings.
